End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and EquiAI governing your use of EquiAI's software, services, and applications (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA.

1. License Grant

Subject to the terms of this EULA, EquiAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes. This license does not allow you to use the Software on any device that you do not own or control, and you may not distribute or make the Software available over a network where it could be used by multiple devices at the same time.

2. Restrictions

You may not:

  • Copy, modify, adapt, translate, or create derivative works based upon the Software or any part thereof
  • Attempt to decompile, disassemble, reverse engineer, or attempt to derive the source code of the Software
  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) from the Software
  • Use the Software for any commercial purpose without prior written consent from EquiAI
  • Use the Software for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Software
  • Attempt to gain unauthorized access to the Software or related systems or networks
  • Use any automated system, including "robots," "spiders," or "offline readers," to access the Software
  • Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature through your use of the Software

3. Ownership

The Software is licensed, not sold, to you for use under the terms of this EULA. EquiAI reserves all rights not expressly granted to you. EquiAI retains ownership of the Software itself and reserves all rights, title, and interest in and to the Software and all intellectual property rights therein. This EULA does not grant you any rights to trademarks or service marks of EquiAI.

4. User Content

The Software may allow you to submit, post, or display content ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content. By submitting, posting, or displaying User Content on or through the Software, you grant EquiAI a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Software.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights, licenses, and permissions to grant the rights in this section and that your User Content, and the use of it as contemplated by this EULA, does not and will not violate any applicable law or regulation or infringe the rights of any third party.

5. Subscription Services

The Software may include subscription-based services. If you choose to subscribe to these services, you agree to pay the applicable subscription fees as they become due. EquiAI may modify subscription fees for any subsequent subscription term by providing notice to you prior to the beginning of such term. Unless otherwise stated:

  • Subscription fees are non-refundable
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current subscription period
  • You authorize EquiAI to charge the payment method on file on a recurring basis

6. Updates and Modifications

EquiAI may, at its discretion, provide updates, upgrades, patches, bug fixes, or other modifications to the Software ("Updates"). These Updates may be automatic or may require manual installation. You agree that EquiAI has no obligation to provide any Updates, or to continue to provide or enable any particular features or functionality of the Software. By installing any Updates, you agree to be bound by the terms of this EULA with respect to such Updates.

7. Third-Party Services and Content

The Software may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services ("Third-Party Services"). You acknowledge and agree that EquiAI is not responsible for Third-Party Services, including their accuracy, completeness, timeliness, validity, legality, decency, quality, or any other aspect thereof. EquiAI does not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Services. Third-Party Services and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.

8. Privacy

Your use of the Software is subject to the EquiAI Privacy Policy, which is incorporated by reference into this EULA. By using the Software, you consent to the collection, use, and disclosure of your information as set forth in the Privacy Policy.

9. Equestrian Safety and Advice

The Software provides equestrian education and training information. You acknowledge and agree that:

  • Horseback riding and equestrian activities involve inherent risks
  • The Software is not a substitute for professional equestrian training, veterinary advice, or professional judgment
  • EquiAI is not responsible for any injuries or damages resulting from the application of knowledge or techniques learned through the Software
  • You are solely responsible for your safety and the safety of your horse when applying techniques or knowledge gained from the Software

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, EQUIAI EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. EQUIAI MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EQUIAI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SOFTWARE; (III) ANY CONTENT OBTAINED FROM THE SOFTWARE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT EQUIAI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Indemnification

You agree to defend, indemnify, and hold harmless EquiAI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this EULA or your use of the Software, including, but not limited to, your User Content, any use of the Software's content, services, and products other than as expressly authorized in this EULA, or your use of any information obtained from the Software.

13. Termination

This EULA will remain in effect until terminated by you or EquiAI. Your rights under this EULA will terminate automatically without notice from EquiAI if you fail to comply with any term of this EULA. Upon termination of this EULA, you shall cease all use of the Software.

EquiAI may, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice. This EULA will terminate immediately, without prior notice from EquiAI, in the event that you fail to comply with any provision of this EULA. You may also terminate this EULA by deleting the Software and all copies thereof from your devices.

Upon termination of this EULA, you shall cease all use of the Software. Termination will not limit any of EquiAI's rights or remedies at law or in equity.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or related to this EULA or the Software shall be instituted exclusively in the courts of the United Kingdom.

15. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. Waiver

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this EULA shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this EULA preclude further exercise of that or any other right granted herein.

17. Amendments to this EULA

EquiAI reserves the right, at its sole discretion, to modify or replace this EULA at any time. If a revision is material, EquiAI will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at EquiAI's sole discretion. By continuing to access or use the Software after those revisions become effective, you agree to be bound by the revised EULA.
